SAN ANTONIO BULLDOG CLUB
CONSTITUTION AND BY -LAWS
ARTICLE I. - Name & Objective
 
1. The name of the club shall be the San Antonio Bulldog Club. 
 
2. The objectives of the club shall be:
 
A. To encourage and promote the breeding of pure-bred Bulldogs and to do all
possible to bring their natural qualities to perfection.
 
B. To urge members and breeders to accept the standard of the breed as approved 
by the American Kennel Club as the only standard of excellence by which Bulldogs shall be
judged.
 
C. To do all in its power to protect and advance the interests of the breed by 
encouraging sportsmanlike competition at dog shows.
 
D. To conduct sanctioned and licensed specialty shows under the rules of the 
American Kennel Club and for each member to represent the club in a professional manner
while displaying and encouraging the practice of good sportsmanship.
 
3. The Club shall not be conducted or operated for profit and no part of any profits or
remainder of residue from dues or donations to the Club shall inure to the benefit of any
member, past or present, or any individual.
 
ARTICLE II - Membership						By-Laws Index
 
SECTION 1. Eligibility 
1. Membership shall be open to all persons in and around the San Antonio area who express an interest
in bulldogs.
 
SECTION 2. Membership 
There shall be four (4) types of memberships open to those person's who are in good standing with the .
American Kennel Club and who subscribe to the purpose of this club.
 
1.  Regular Membership - Is open to all person's eighteen years of age or older. Regular
members enjoy all the privileges of the club including voting and holding office.
 
2. Family Membership - Is open to individuals living in the same household, including children
under 18 years of age.
 
3. Associate Membership - Is open to all persons 18 years of age and older, who reside outside
our local area. Associate members are entitled to all privileges of the club, except they may
not vote or hold office.
 
4. Lifetime Membership - Is open to regular members who have contributed significantly to
this club and its objectives. Lifetime memberships shall be recommended by the Board of
Directors and approved by a majority vote of the regular membership. Lifetime members are
members of election to the Club, notify Officers a.l1d Directors of election to such office and keep a
roster of all active members of the Club which should include physical addresses, telephone numbers
and Email addresses. The Secretary will carry out such other duties such as furnish each new member
with a copy of the Club's Constitution and By-Laws and a copy of the Bulldog Club of America's
Bulldog Standard of Excellence as well as carry out any similar duties as may be requested by the
President or as prescribed by this Constitution and By-Laws.
 
D. TREASURER 
 
The Treasurer shall collect all revenues and have custody of all monies of4;i;~qluband deposit same
revenues in the name of the Club into a bank satisfactory to the Board of DirectOrs and it's members.
All bank accounts shall have a minimum of two authorized signatures satisfactory to the Board of . 
Directors as elected in the annual November meeting which is subject to change annually. The
Treasurer shall be responsible for payment of any Club funds, for all expenses incurred in carrying out
routine business of the Club upon receipt of proper documentation/receipts or any other expenditures
specifically authorized by vote of the membership. The Treasurer shall keep accurate records which
shall be open at all times to inspection by the Board of Directors and shall report at every Club meeting
the condition of the Club's finances. The Treasurer shall render an annual report eachcNovember and
shall submit such records to any auditing committee appointed by the President within 30 days of
notice as well as be available and responsible for submitting any change in appointment to the
depository bank to ensure no interruption in Club banking service. All records for the year will be
graciously turned over to the newly appointed Treasurer no later then December 31 st of each year. 
 
E. HISTORIAN
 
The Club will appoint a Historian who's sole responsibility shall be to maintain a duplicate file of all
Club correspondence, membership rosters, minutes, reports and any other documents pertinent to the
Club's business which may result in a hardship to the Club should the originals be misplaced or
destroyed. This office does require being an eligible member of the Club and the only position that can
be held for more then two consecutive terms.
 
F. VACANCIES
 
1. Any vacancy in the office of President shall be filled automatically by the Vice-
President and the resulting vacancy in the office of Vice-President shall be filled by the
Board.
2. Any vacancy occurring on the Board or among the offices during the year shall be filled until
the next annual election by a majority vote of all the then members of the Board at the first
regular meeting following the creation of such vacancy, or at a Special Board Meeting called
for that purpose.
 
SECTION 3: Officers and Board Members
 
1  All Officers and Board Members shall attend all meetings of the Club and Board.
2. Absence from four meetings shall be cause for forfeiture of office.

be considered on an individual basis.

SECTION 3. Application for Membership 
 
1. Each applicant shall submit an application expressing their desire to join on the approved
application form.
2. Each application will be held until such time as applicant attends their first general meeting.
3. The applicant must sign the Code of Ethics and agree to abide by the Constitution and By Law~ 
of the San Antonio Bulldog Club.
4. The applicant must agree to abide by the rules of the American Kennel Club and the Bulldog 
Club of America.
5. Applications are to be read at the first meeting of the club following its receipt and voted upon
at the second meeting.
6. Affirmative votes of three-fourths of the regular members present and voting at the meeting
shall be required to elect the applicant.
7. The Applicant must be present at the meeting in order to be voted in and will immediately be
notified by the President of the action taken prior to the adjournment of the Club meeting.
8. Dues for the current year will be required and collected.
9. Applicants for membership who have been rejected by the Club may not reapply within six
months following such rejection.
All applications become a part of the Club's permanent records and shall be maintained by
the acting President and the acting Historian.
 
SECTION 4. Dues 
1. Membership dues shall be payable the 1 st of January each year. 
2. No member shall be eligible to vote if dues for the current year are not paid.
3. During November of each year the Secretary shall advise each member of the dues amount
for the coming year.
4. New members will be charged full membership dues provided their acceptance to the club
falls within the months of January through June.
5. New members joining July through December will be assessed dues in the amount of one half
the current years dues.
 
SECTION 5. Renewal of Regular & Family Membership 
1. The renewal of any regular member shall require the attendance at two Club functions during
2. Club functions for this purpose would include a regular meeting, Club hosted dog show,
educational program, training program or fun match.
This requirement may be waived upon written application to the Board of Directors and upon their
approval.
 
SECTION 6. Termination of Membership
 
Members may be terminated by:
 
1. Lapsing: A membership shall be considered lapsed and automatically terminated if such
member's dues remain unpaid 30 days after the first day of the fiscal year; however,
A. The Board of Directors may grant an additional 30 days in meritorious cases.
B. In no case may a member vote at any meeting if their dues are unpaid.
 
2. Resignation: Any member in good standing may resign upon written notice. There will be no
refund of dues.
 
3. Expulsion: Any member may be terminated by expulsion as provided in ARTICLE VII of this
Constitution and By-Laws.
 
ARTICLE III - Meetings 						
 
SECTION 1. Club Meetings
1. Meetings of the Club shall routinely be held in Bexar County on the second Thursday of each
month except if otherwise designated.
 
2. Meetings may be held outside of Bexar County provided that the location be agreed upon by
the majority of voting members present at the previous months meeting.
 
3. Notice of each meeting shall be given by the Secretary at least seven (7) days prior to the date
of the meeting.
 
4. A quorum for such meetings shall be twenty percent of the voting members of the club.
 
SECTION 2. Special Club Meetings
 
1. Special meetings may be called by the President, or by a majority of the members of the
Board of Directors who are present and voting at any board meeting, or by the Secretary upon
request of a petition signed by five members of the Club in good standing.
 
2. Notice of such meeting shall be given by the Secretary at least three days prior to the date of
the meeting and said notice shall state the purpose of the meeting.
 
3. A quorum for such meeting shall be twenty percent of the voting members of the club.
 
SECTION 3. Board Meetings
 
1. Board meeting may be called by the President at such time and place as he/she may
designate, or by the Secretary upon receipt of a petition signed by four Board members
stating the purpose of the meeting.
 
2. A quorum for such meeting shall consist of five members of the Board.
 
ARTICLE IV - Organization, Directors and Officers			By-Laws Index
 
SECTION 1. Board of Directors
 
1. General management of the Club's affairs shall be entrusted to the Board of Directors.
 
2. The Club will be governed under its Constitution and By-Laws, the Executive Officers,
(President, Vice-President, Secretary and Treasurer), and its Board of Directors.
 
3. The Board of Directors shall be comprised of the Executive Officers and five other
members, all of who are elected for a one year term at the Club's Annual Election meeting
each November, as provided in ARTICLE V.
 
4. The immediate past President may be elected as a member of the Board and if so elected may
be a voting member of the Board.
 
SECTION 2. Officers
 
1. The Club's officers, consisting of the President, Vice-President, Secretary and Treasurer, shall
serve in their respective capacities both with regard to the Club and its meetings.
 
2. No person shall be eligible to hold the same office for more then two consecutive terms.
 
3. The Club Historian is the only position that may be held by the same member for more then
two consecutive terms.
 
4. Any eligible member being considered for office must be in good standing with the
American Kennel Club and the Bulldog Club of America. 
 
A. PRESIDENT
 
The President shall preside at all meetings of the Club and the Board of Directors. He or she shall be
the general administrative officer of the Club and shall have the power to supervise, coordinate,
correspond and communicate with any and all parties required regarding all activities of the Club. In
addition, he or she shall have further duties and powers as may be provided for within the By-Laws.
 
B. VICE-PRESIDENT
 
The Vice-President shall have the powers and exercise the duties of the President in case of the
President's absence, or incapacity or at the President's request.
 
C. SECRETARY
 
The Secretary shall keep a record of all meetings of the Club and Board of Directors and of all matters
of which a record shall be in order as well as be custodian of all files pertaining to Club business. The
Secretary shall have charge of all correspondence, notifications to members of meetings, notify new
members of election to the Club, notify Officers a.l1d Directors of election to such office and keep a
roster of all active members of the Club which should include physical addresses, telephone numbers
and Email addresses. The Secretary will carry out such other duties such as furnish each new member

ARTICLE V - Club Year, Annual Meeting, Elections 				By-Laws Index
 
SECTION 1. Club Year
 
1. The Club's fiscal year shall begin on the first day of January and end on the Thirty-first day
of December of each year.
 
2. The Club's official year shall begin immediately at the conclusion of the election at the
annual meeting and shall continue through the election at the next annual meeting.
 
SECTION 2. Annual Meeting
 
1. The Annual Meeting shall be held in the month of November, at which time the Directors
and Officers for the ensuing year shall be elected.
 
2. The slate for officers for the ensuing year shall be elected at the October meeting by secret
written ballot in accordance with Section 5 of this ARTICLE V. 
 
3. Any member being considered for office must be in attendance at the October and November
meeting to be eligible and shall take office immediately following the election.
 
4. Each retiring officer shall turn over to his successor in office all properties and records
relating to that office no later then December 31st. 
 
SECTION 3. Proxies
 
1. Proxy voting is not permitted at any Club meeting or election.
 
SECTION 4. Elections
 
1. The nominated candidate receiving the majority of votes cast for each office shall be
declared elected.
 
SECTION 5. Nominations
 
1. No person may be a candidate in the Club election who has not been nominated.
 
2. During the month of September, the Board shall select a Nominating Committee consisting
of three members, not more then one of whom may be a member of the Board. The
Secretary shall immediately notify the committeemen of their selection.
 
3. The Board shall name a committee Chairman and it shall be their duty to call a Committee
meeting which shall be held on or before the September Club meeting date.
 
4. The Committee shall nominate one candidate for each office and five candidates for the
Board.
 
5. The Committee Chairman shall immediately report the Committee's nominations to the
Secretary in writing.
 
6. The Secretary shall, at least two weeks prior to the October Club meeting, notifY each member 
of the candidates so nominated.
 
7. Additional nominations may be made at the October meeting from the floor by any eligible
member in attendance, provided that the person so nominated is present and does not decline
when their name is proposed.
 
8. No person may be a candidate for more than one office.
 
9. Nominations can not be made at the Annual Meeting Held in November or in any manner
other than provided in this section.
 
ARTICLE VI - Committees 							
 
The President or Board may each year appoint standing committees to assist with the work of the Club
in such matters as dog shows, trophies, annual prizes, raffles, membership drives, etc. Such
committees shall always be subject to the final authority of the Board. Special committees may also be
appointed to aid on particular projects as deemed necessary by the Club President or Board of
Directors.
 
ARTICLE VII - Discipline 							By-Laws Index
 
SECTION 1. American Kennel Club Suspension
 
1. Any member who is suspended from privileges of the AKC automatically shall be suspended
from the privileges of this Club for the same period of time.
 
SECTION 2. Bulldog Club of America Suspension
 
2. Any member who is suspended from the Bulldog Club of American shall automatically be 
suspended from the privileges of the Club for the same period of time.
 
SECTION 3. Charges
 
1. Any member may prefer charges against a member for alleged misconduct prejudicial to the
best interests of the Club or the breed.
 
2. Written charges with specifications must be filed in duplicate with the Secretary, together
with a deposit of$15.00, which shall be forfeited if the charges are not substantiated.
 
3. The Secretary shall promptly notify the Board which shall meet and set a date of a Board
hearing not less than three weeks (twenty one days) and not more then six weeks (forty two
days) thereafter.
 
4. The Secretary shall promptly send one copy of the charges to the accused member by
registered mail, return receipt requested, together with the notice of the hearing and an
assurance that the defendant may personally appear in their own defense and bring witnesses
if they so wish.
 
SECTION 4. Board Hearing
 
1. The Board shall have authority to decide whether counsel may attend the hearing, but both
complainant and defendant shall be treated uniformly in that regard.
 
2. Should the alleged charges be sufficiently substantiated after hearing all evidence and
testimony presented by complainant and defendant, the Board may, by a majority vote,
suspend the defendant from all privileges of the Club for a period of not more than six
months from the date of the hearing.
 
3. Should the Board deem that this punishment is insufficient, it may also recommend to the
Club members that the penalty be expulsion. In such case, the suspension shall not restrict
the defendant's right to appear before his fellow members at the ensuing meeting of the Club,
which will consider the Board's recommendation.
 
4. Immediately after the Board has reached a decision, its findings shall be put into written form
and filed with the Club Secretary, who shall read the same at the ensuing meeting. The
Secretary shall, in turn, notify each party of the Board's decision and penalty, if any.
 
5. Should charges by the complainant be deemed unsubstantiated, the Board may recommend that
the complainant be suspended for an equal period of time (not more then six months) from the
date of the hearing and based on the findings could result in expulsion from the Club.
 
SECTION 5. Expulsion
 
1. Expulsion of a member from the Club may be accomplished only at a meeting of the Club,
following a Board hearing, and upon the Board's recommendation as provided in SECTION 
3 of this ARTICLE. 
 
2. Such proceedings may occur at a regular or special meeting of the Club to be held within sixty
days, but not earlier than thirty days after the date of Board's recommendation of expulsion.
 
3. The defendant shall have the privilege of appearing on their own behalf, though no evidence
shall be taken at this meeting.
 
4. The President shall read the charges and the Boards findings and recommendations, and shall
invite the defendant, if present, to speak on their own behalf in they so wish.
 
ARTICLE VIII - Amendments 					
 
1. Amendments to these Constitutions and By-Laws may be proposed from time to time by the
Board of Directors or by written petition addressed to the Secretary signed by forty percent
of the regular membership in good standing.
 
2. Amendments proposed by such petition shall be promptly considered by the Board of
Directors and must be submitted to the members with recommendations of the Board by the
Secretary for a vote within three months of the date when the petition was received by the
Secretary.
 
3. These Constitution and By-Laws may be amended by a two thirds vote of the regular
members present and voting at any regular or special meeting called for the purpose,
provided the proposed amendments have been included in the notice of the meeting and
mailed to each member at least two weeks prior to the date of the meeting.
 
ARTICLE IX - Dissolution 						By-Laws Index
 
The Club may be dissolved at any time by written consent of not less than two thirds of the members.
In the event of the dissolution of the Club other than for the purpose of reorganization, whether
voluntary or involuntary or by the operations of law, none of the property of the Club or any proceeds
thereof, or assets of the Club shall be distributed to any member of the Club. After payment of the
debts of the Club, it's property and assets shall be given to a charitable organization selected by the
Board of Directors for the benefit of dogs.
 
ARTICLE X - Order of Business 					By-Laws Index
 
SECTION 1.   At meetings of the Club, the order of business, so far as the character and nature of the
meeting may permit, shall be:

SECTION 2.  At meetings of the Board, the order of business, unless otherwise directed by a majority
vote of those present, shall be as follows:
